| Foreword 
         C.P. Technology Co., Ltd., a leading manufacturer for game cards,  
      was established in October 1997. In only two years after its  
      establishment, C.P. Technology obtained ISO-9001 certification and with  
      its brand name "PowerColor" the company also accomplished as one  
      of the top leading graphic card manufacturer in Taiwan. In year 2000, with  
      the capability in existing multimedia strength, C.P. Techonlogy movies  
      itself into the new IA insustry, in line with the company's philosophy of  
      "Digitize your life, Solutions for infotainment." Futhermore,  
      C.P. Technology become IBM's first Business Partner for IA; the two  
      companies are now working together to develop and promote a range of IA  
      products, fulfilling the aim of enriching people's lives.  
      Growth  
        During the past foru years, C.P. Technology has achieved  
      spectacular success in marketing with its own brand PowerColor worldwide.  
      Revenue has increased from NT$100 million in 1997 to NT$2.3 billion in  
      2000, an impressive annually growth rate of 30~40%. This year, C.P.  
      Technology has still set itself a goal of NT2.6 billion sales revenue, and  
      is aggressively developing new products for our customers to beat their  
      competitors.  
        The key factor which has enabled C.P. Technology to succeed in  
      such a short space of time, is the company's experienced, far-sighted  
      management and R&D team.  
      Management Philosophy  
      C.P. Technology's achievements are based on the company's  
      "5F" philosophy:  
      Fast Faced with the rapid pace of change in the IT sector, all company  
      personnel must be able to provide high-qulaity input at top speed if the  
      enterprise is to remain competitive.  
        
      Flexible With market demand becoming steadily more diversified, a high  
      level of flexibility is needed in both product design and personnel  
      attitudes, to respond to the changes taking place in the market.  
        
      Focus Both enterprises and individuals need to concentrate even more on  
      developing thdir particular expertise, if they are to be able to provide  
      higher added value and to increase their competitive advantage.  
        
      Friendly Product design needs to be user-friendly, and it is even more  
      important that relations between people remain friendly. This includes  
      relations between oneself and the customer, and between departments; to  
      maintain amicable and healthy interaction.  
        
      Fun A company must create an environment which employees will enjoy  
      working in, because people are an enterprise's most precious asset. If  
      employees do not like the company'a facilities, the mode of interaction or  
      the tasks which they are assigned, this is bound to have negative  
      consequences for both the company and the individual employee.  
        
      Research & Development  
        Since 1999, C.P. Technology has been collaborating with leading  
      international 3D display chip design companies such as S3, SiS, ATI, 3Dfx,  
      ST and nVIDIA on the development of a series of 3D display card products.  
        The chief characteristic of C.P. Technology's R&D team is  
      their ability to react quickly to information from distribution channels,  
      displaying flexibility and speed, and meeting the driverse need of  
      different consumers according to the characteristics of particular  
      markets.  
        Having devoted itself for years to multimedia product since 1998,  
      we have integrated our strengths in the area of infotainment. With the  
      arrival of the post-PC, or internet era, C.P. Technology will be focusing  
      on the development of "home consumer technology," developing IA  
      products that can provide 3A(Any Device, Any Data, Any Network) solution.  
      C.P. technology has been shosen by leading global hi-tech company IBM to  
      be their first IA strategic alliance partner in Taiwan. Besides technical  
      collaboration, the two companies are also working together on promotion  
      and marketing.  
        In the 3A era, our R&D will focus on software and services,  
      as well as system integration. In the strategic alliance partnership, IBM  
      provides the basic infrastructure, while C.P. Technology is responsible  
      for software, hardware development and service integration. Home IA  
      products are set to become one of the most significant products for the  
      next ten years.  
      Marketing & Distribution  
        C.P. Technology has achieved a high level of competence in the  
      promotion of their own-brand PowerColor products. Maintaining control over  
      distribution channels is an important part of C.P. Technology's business  
      strategy. The key factor here is keeping up-to-date with market response  
      in each individual market, to provide a reference for product R&D,  
      while at the same time reducing distributors' inventory pressure, creating  
      a "Virtuous circle" and reinforcing the level of influence on  
      its channel with brand name recognition.  
      The Future  
        On the basis of the solid foundation that has already been  
      established, C.P. Technology will be continuing to move forward to meet  
      the challenge of the future through superior vision. In the area of VGA  
      cards, C.P. Technology will be integrating advantages in terms of  
      branding, R&D, distribution and marketing, seeking to achieve its goal  
      of becoming the world's number one VGA R&D company. In the IA sector,  
      C.P. Technology will be seeking to integrate technology with design, in  
      order to meet the diverse needs of home consumers, so that the home life
